Bob served as in-house counsel for Carrols Corporation (NYSE: TAST) before rejoining private practice, where he served as outside general counsel for John MacDougall's Nice N Easy Grocery Shoppes and its real estate affiliates for 24 years. During his time in private practice, Bob has represented countless businesses, ranging in size from large national companies down to start-ups and mom and pop enterprises.

  • Represented client in sale of 102 site chain of confectionary stores in shopping centers and strip centers.
  • Served 24 years as outside general counsel for privately owned regional convenience store, handling day to day legal work for company which had $350M per year annual sales. Regularly worked on site development, zoning, leasing, acquisition and sale of convenience stores. Developed familiarity with fuel agreements and commission marketing contracts.

  • Represented regional brewery and its affiliates in annexing of town property into Village of Cazenovia and receipt of necessary zoning approvals to construct a brewery. Also represented said brewery in closing financing of project with bank, Madison County IDA, New York Job Development Authority, and public association.
  • Represented numerous clients in purchase and sale businesses ranging from bars, restaurants, dental practices, veterinary practice, an elder care companion provider, clothing stores, a kosher meat market, and other businesses.
  • Represented clients in incorporating corporations, forming limited liability companies, partnerships and other entities.
  • Represented client shareholders in negotiating shareholder agreements and agreements of members of limited liability companies. Also represented shareholders and members in disputes with fellow shareholders/members.
  • Represented national and local residential lenders in mortgage closings.
  • Represented regional Wendy's franchisee in ground leases to construct and operate a quick serve restaurant.
  • Represented regional shopping center developer in evictions of delinquent tenants.
  • Represented clients in negotiating business deals with franchisor.
